The Management Board of RWT AG announces that the Management Board of RWT AG, with the approval of the Supervisory Board, has resolved to create the conditions for so-called phase-congruent dividend activation.

A phase-congruent dividend activation creates the conditions for the parent company to recognize the dividend of the subsidiary, which is yet to be resolved based on the financial statements for the current fiscal year, already within the current fiscal year at the parent company, and thus to use it, among other things, for the resolution of dividends at the parent company.

Through phase-congruent dividend activation, RWT AG is to be provided with liquidity and, at the same time, the possibility of paying dividends at the RWT AG level is to be prepared. The concrete decision on whether to propose the resolution on the payment of a dividend to the Annual General Meeting remains with the bodies of RWT AG and will be made specifically after the completion of RWT AG's annual financial statements.

The RWT AG, as the sole shareholder of its 100 %RWT AG subsidiary RWT Hornegger & Thor GmbH, has further resolved to inform the managing directors of the subsidiary of the intention to resolve a distribution of at least EUR 575,000 for the 2024/2025 financial year, utilizing available corporate and company law options. The specific resolution will be made after the completion and approval of the annual financial statements of RWT Hornegger & Thor GmbH as of January 31, 2025, for the 2024/2025 financial year.
